Certain Services may be governed by separate Statements of Work (SOWs), proposals, quotations, service agreements, or Master Service Agreements (MSAs). Where a conflict exists, those agreements will prevail over these Terms to the extent of the conflict.
4. ACCOUNT REGISTRATION
Some Services may require you to create an account. You agree to:
- Provide accurate and complete information.
- Keep your information current.
- Maintain the confidentiality of your login credentials.
- Notify us immediately of any unauthorized access or suspected security breach.
You are responsible for all activities conducted under your account.
5. ACCEPTABLE USE
You agree not to:
- Use the Services for unlawful purposes.
- Violate any applicable law or regulation.
- Attempt unauthorized access to our systems.
- Disrupt or interfere with our Services.
- Upload malicious software, malware, ransomware, or viruses.
- Reverse engineer or attempt to extract source code unless permitted by law.

- Misrepresent your identity.
- Use the Services to facilitate fraud, money laundering, terrorism financing, or other criminal activities.
- Infringe the intellectual property rights of others.
6. BLOCKCHAIN SERVICES
Blockchain technologies involve inherent risks, including:
- Network congestion;
- Protocol changes;
- Smart contract vulnerabilities;
- Wallet compromise;
- Token volatility;
- Permanent blockchain transactions;
- Loss of private keys.
Falpine cannot reverse blockchain transactions or recover lost digital assets caused by user error, third-party actions, or blockchain network behavior.
Clients remain responsible for securing private keys, wallets, seed phrases, and other authentication credentials.
7. AI AUTOMATION SERVICES
Falpine develops AI-powered solutions based on client requirements.
Unless expressly agreed in writing:
- Client data is processed solely for delivering the requested Services.
- Client data is not used to train publicly available AI models.
- AI-generated outputs may require human review before operational or legal use.
- Clients remain responsible for validating outputs before making business, financial, legal, or regulatory decisions.
Falpine does not guarantee that AI-generated content will always be accurate, complete, or free from errors.
8. INFRASTRUCTURE AND DEVOPS SERVICES
Where clients provide Falpine with access to cloud platforms, repositories, deployment environments, or production infrastructure, clients agree that:
- They possess the necessary authority to grant such access.
- Appropriate backups are maintained unless otherwise agreed.
- Credentials provided are accurate and current.
Falpine will exercise reasonable care in performing infrastructure-related Services but cannot guarantee uninterrupted availability of third-party infrastructure.
9. CLIENT RESPONSIBILITIES
Clients agree to:
- Provide accurate project requirements.
- Supply necessary documentation and information.
- Cooperate during project execution.
- Review deliverables promptly.
- Obtain all required permissions for data and systems provided to Falpine.
- Comply with applicable laws and regulations.
Delays caused by incomplete information or lack of cooperation may affect delivery timelines.
10. FEES AND PAYMENT
Where Services are provided for a fee:
- Pricing will be specified in quotations, proposals, invoices, or agreements.
- Payment terms will be stated in the applicable contract or invoice.
- Late payments may result in suspension of Services.
- Taxes, duties, or governmental charges are the client's responsibility unless otherwise stated.
11. INTELLECTUAL PROPERTY
Unless otherwise agreed in writing:
- Falpine retains ownership of its proprietary software, frameworks, methodologies, documentation, templates, tools, and pre-existing intellectual property.
- Clients retain ownership of their own content, data, trademarks, and proprietary materials supplied to Falpine.
Upon full payment of applicable fees, ownership of project-specific deliverables will transfer only to the extent expressly agreed in the applicable contract.
Falpine may reuse its general knowledge, skills, methodologies, and non-confidential know-how developed during an engagement.
12. OPEN-SOURCE SOFTWARE
Our Services may include or rely upon open-source software licensed under their respective licenses.
Nothing in these Terms overrides the applicable open-source license governing such software.
13. CONFIDENTIALITY
Each party agrees to protect confidential information received from the other party and use it solely for the purposes of performing or receiving the Services.
Confidentiality obligations do not apply to information that:
- Is publicly available without breach of these Terms;
- Was already lawfully known;
- Is independently developed;
- Must be disclosed by law or court order.
14. PRIVACY
Our collection and processing of Personal Data are governed by our Privacy Policy.
By using our Services, you acknowledge that Personal Data may be processed in accordance with that Privacy Policy.
15. THIRD PARTY SERVICES
Our Services may integrate with or rely upon third-party platforms, including cloud providers, payment processors, blockchain networks, AI providers, hosting providers, repositories, APIs, and software vendors.
Falpine is not responsible for interruptions, failures, pricing changes, or actions of third-party providers.
16. SERVICE AVAILABILITY
While we strive to maintain reliable Services, we do not guarantee uninterrupted availability.
Services may occasionally be suspended due to:
- Maintenance;
- Security updates;
- Infrastructure failures;
- Third-party outages;
- Regulatory requirements;
- Events beyond our reasonable control.
17. WARRANTIES DISCLAIMER
Except as expressly provided in writing, the Services are provided on an "as is" and "as available" basis.
To the fullest extent permitted by law, Falpine disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
18. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Falpine shall not be liable for:
- Indirect damages;
- Incidental damages;
- Consequential damages;
- Special damages;
- Loss of profits;
- Loss of revenue;
- Loss of business opportunities;
- Loss of digital assets;
- Loss of goodwill;
- Data loss.
Where liability cannot be excluded by law, Falpine's aggregate liability shall not exceed the total amount paid by the client for the specific Services giving rise to the claim during the twelve (12) months preceding the event.
19. INDEMNIFICATION
You agree to indemnify and hold harmless Falpine, its directors, employees, contractors, affiliates, and agents against claims, liabilities, losses, damages, and expenses arising from:
- Your misuse of the Services;
- Your breach of these Terms;
- Your violation of applicable laws;
- Your infringement of third-party rights.
20. SUSPENSION AND TERMINATION
Falpine may suspend or terminate access to the Services where:
- These Terms are violated;
- Payment obligations are not met;
- Fraudulent or unlawful activity is suspected;
- Continued provision of Services would violate applicable law.
Termination does not affect accrued rights or obligations.
21. FORCE MAJEURE
Falpine shall not be liable for delays or failures resulting from circumstances beyond its reasonable control, including natural disasters, war, cyberattacks, governmental actions, labor disputes, internet outages, pandemics, utility failures, or failures of third-party infrastructure.
22. EXPORT CONTROLS AND SANCTIONS
You represent that your use of the Services complies with all applicable export control laws, trade sanctions, and restrictions.
Falpine reserves the right to refuse Services where prohibited by applicable law.
23. CHANGES TO THE SERVICES
Falpine may modify, improve, suspend, or discontinue any part of the Services at any time where reasonably necessary to improve security, comply with legal obligations, or enhance functionality.
24. CHANGES TO THESE TERMS
We may revise these Terms from time to time.
Updated versions will be published on our website with a revised Last Updated date.
Continued use of the Services after such updates constitutes acceptance of the revised Terms.
25. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by the laws applicable in the jurisdiction in which Falpine operates, without prejudice to any mandatory consumer protection or data protection laws that apply in your jurisdiction.
The parties shall first attempt to resolve disputes through good-faith negotiations.
If a dispute cannot be resolved amicably, it shall be submitted to the competent courts or other dispute resolution mechanisms agreed upon in the applicable service agreement.
26. SEVERABILITY
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
27. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and any applicable Statement of Work, Proposal, Master Service Agreement, or other written agreement between the parties, constitute the entire agreement relating to the Services.
